Spin Off | VAMOS LOCACAO DE CAMINHOES M | 16th December 2024

On September 29, 2024, VAMOS LOCACAO DE CAMINHOES M announced its intention to spin-off its VAMOS Dealerships business, leading to the creation of the largest and most diversified group of dealership networks in Brazil. VAMOS LOCACAO will pay a Dividend in Natura in common shares of AUTOMOB PARTICIPACOES SA (NewCo), followed by a Partial Spin-off to separate the remainder of its stake in NewCo. Upon completion of the Transaction, for each 1 (one) common share issued by VAMOS LOCACAO, shareholders will be entitled to receive (i) 0.86845811 share issued by NewCo by way of distribution of the Dividend in Natura; and (ii) 0.28290555 share issued by NewCo by way of exchange ratio of the Partial Spin-off. Thus, the shareholders of VAMOS LOCACAO will receive a total of 1.15136366 shares issued by NewCo for each share of VAMOS LOCACAO held as of the record date. At an Extraordinary General Meeting held on November 22, 2024, shareholders approved the transaction. The ex-date for the transaction is December 16, 2024, which is also the day NewCo shares will commence trading on the Novo Mercado under the new ticker “AMOB3?. On December 31, 2024, AUTOMOB will incorporate into NewCo.

• The spin-off company AUTOMOB PARTICIPACOES SA will be added to the Index according to the transaction terms.
