Spin Off | MARLOWE PLC | 26th September 2024

On September 12, 2024 MARLOWE PLC announced that it intends to demerge its Occupational Health division from Marlowe to form OPTIMA HEALTH PLC as an independent company and to make an application for the entire issued share capital of Optima Health to be admitted to trading on the AIM market of London Stock Exchange plc. The Demerger will be implemented by way of a dividend in specie of ordinary shares in the capital of OPTIMA HEALTH PLC to MARLOWE PLC shareholders such that each shareholder of MARLOWE PLC shall receive:1 OPTIMA HEALTH PLC Ordinary Share for every 1 existing MARLOWE PLC ordinary share. Admission and commencement of dealings in OPTIMA HEALTH PLC Ordinary Shares on the AIM market of the London Stock Exchange is expected on September 26, 2024.

The treatment below will be applied to the following indices:

• The spin-off company OPTIMA HEALTH PLC will be added to the Index according to the transaction terms.
• Effective Date (open): 26/09/2024
