Spin Off | CARGOTEC OYJ CLASS B | 1st July 2024

On 27 April 2023, the Board of Directors of CARGOTEC OYJ decided to investigate and initiate a process to separate CARGOTEC OYJ core businesses Kalmar and Hiab into two standalone companies. On 1 February 2024, The Board approved a demerger plan concerning the separation of Kalmar into a new listed company. On 22 May 2024, CARGOTEC OYJ announced that the Finnish Financial Supervisory Authority has approved the prospectus concerning the partial demerger of Cargotec and listing of Kalmar. The demerger was approved by the Annual General Meeting of Cargotec held on 30 May 2024. The planned completion date of the demerger is 30 June 2024. Trading in Kalmar class B shares on the official list of Nasdaq Helsinki Ltd is expected to begin on 1 July 2024. The shareholders of CARGOTEC OYJ CLASS B shall receive as demerger consideration one 1 new share of the corresponding share class of Kalmar for each class A and class B share owned in CARGOTEC.

• The spin-off company KALMAR CORP will be added to the Index according to the transaction terms.
