Spin Off | ARGONAUT GOLD INC | 16th July 2024
Initially announced on March 27, 2024, ALAMOS GOLD INC will acquire all of the issued and outstanding share of ARGONAUT GOLD INC. Concurrently with the acquisition, ARGONAUT’s assets in the United States and Mexico will be spun out to its existing shareholders as a newly created SpinCo Florida Canyon Gold. Under the terms of the acquisition, each ARGONAUT GOLD INC outstanding common share will be exchanged for 0.0185 ALAMOS GOLD INC common shares and 0.1 share of Florida Canyon Gold. The acquisition has been approved by the shareholders at a special meeting on June 28, 2024. The company has received the clearance decision from the Comision Federal de Competencia Economica (COFECE) on July 11, 2024 and the final order of the Ontario Superior Court of Justice (Commercial List) on July 5, 2024. The closing of the transaction is expected to occur on July 16, 2024. ARGONAUT GOLD INC common shares are expected to be de-listed from Toronto Stock Exchange on July 16, 2024. Florida Canyon Gold’s common shares are expected to commence trading on the TSX Venture Exchange on July 16, 2024, under the symbol FCGV.

- The spin-off company FLORIDA CANYON GOLD will be added to the Index according to the transaction terms.
