Mandatory Conversion | LIBERTY MEDIA CORP – SIRIUSXM A | 10th September 2024

On December 12, 2023, Liberty Media Corporation and Sirius XM Holdings Inc entered into definitive reorganization agreements whereby LIBERTY MEDIA CORP – SIRIUSXM A (LSXMA), LIBERTY MEDIA CORP – SIRIUSXM B (LSXMB), and LIBERTY MEDIA CORP – SIRIUSXM C (LSXMK) would be combined with SIRIUS XM HOLDINGS INC by means of a redemptive split-off to create a new public company (‘New Sirius’). On August 23, 2024, shareholders approved the transaction. Under the terms of the transaction, after market close on September 9, 2024, each outstanding share of LSXMA, LSXMB, and LSXMK will be redeemed in exchange for 0.8375 shares of New Sirius. Following the split-off, legacy SIRIUS XM shareholders will receive 0.1 shares of New Sirius per each share held. New Sirius shares will be listed on the Nasdaq Stock Market under the name ‘SIRIUS XM HOLDINGS INC’ and ticker symbol ‘SIRI’ and will begin trading on the Nasdaq Stock Market on September 10, 2024. Solactive will treat this event as a Mandatory Conversion of LIBERTY MEDIA CORP – SIRIUSXM to SIRIUS XM HOLDINGS INC followed by a consolidation. SIRIUS XM HOLDINGS INC shares will be increase/added based on the pre-consolidation exchange ratio (8.375). Immediately following this, Solactive will enact a 1 for 10 reverse stock split for SIRIUS XM HOLDINGS INC. Both actions will be effective on September 10, 2024 (open).

The treatment below will be applied to the following indices:

• LIBERTY MEDIA CORP – SIRIUSXM A will be removed from the Index.
• The shares of SIRIUS XM HOLDINGS INC (SIRI.OQ) will be increased according to the stock terms of the transaction.
• Effective Date (open): 10/09/2024
