Mandatory Conversion | HAMBURGER HAFEN UND LOGISTIK AG | 28th November 2023
On September 13, 2023 HAMBURGER HAFEN UND LOGISTIK AG informed that Port of Hamburg Beteiligungsgesellschaft SE made the decision to submit a voluntary public takeover offer for EUR 16.75 in cash per A share. As a result of the tender offer which expired on November 21, 2023 the offeror controls 86.23 percent of the share capital of HAMBURGER HAFEN UND LOGISTIK AG. An additional acceptance period will expire on December 8, 2023 for shareholders who have not accepted the Takeover Offer.
Trading in the HAMBURGER HAFEN UND LOGISTIK AG (TENDERED LINE)] Tendered Class A Shares on the regulated market of the Frankfurt Stock Exchange is expected to be discontinued at the end of the last day of the Additional Acceptance Period if all Closing Conditions of the Offer Document have been satisfied.
As the free float of HAMBURGER HAFEN UND LOGISTIK AG has dropped below 15 percent, Solactive will apply a mandatory conversion in the indices and exchange on a one to one basis the Class A Shares to the Tendered Line of HAMBURGER HAFEN UND LOGISTIK AG (ISIN: DE000A37FUD8) effective November 28, 2023.
