Announcement | MACATAWA BANK CORP | Informative Notice

Initially announced on April 16, 2024, MACATAWA BANK CORP will be acquired by WINTRUST FINANCIAL CORP with an all-stock merger. A special shareholder meeting to be held on July 31, 2024, will vote to approve the transaction. If approved, the merger is tentatively scheduled to close prior to the market open on August 1, 2024. In anticipation of the closing, trading of MACATAWA BANK CORP will be halted on open of August 1, 2024, and officially suspended from August 2, 2024.

The final stock term will be calculated based on the average of the volume-weighted average price of WINTRUST common stock for each trading day during the ten trading day period ending on the second trading day prior to completion of the merger. Solactive will delay the index adjustment until the final stock term is available on the market. In absence of an active market of MACATAWA BANK CORP shares, the last close price will reflect the Deal Terms of the transaction.
