Acquisition | ZUORA INC | 19th February 2025

On October 17, 2024, ZUORA INC entered into a definitive agreement to be acquired by Silver Lake and GIC. Under the terms of the agreement, Silver Lake and GIC will acquire all outstanding shares of ZUORA INC common stock for USD 10.00 per share in cash. ZUORA INC shareholders will vote to approve the proposed acquisition on February 13, 2025. Pending shareholder approval and the satisfaction of customary closing conditions, the acquisition is expected to be completed on February 14, 2024. Trading in shares of ZUORA INC is expected to be halted effective February 14, 2025. In the absence of an active market, the last close price will reflect the Deal Terms of the transaction.

The treatment below will be applied to the following indices:

• ZUORA INC will be removed from the Index.
• The weight of ZUORA INC (ZUO.N) based on its last close price will be distributed pro rata to remaining Index constituents.
• Effective Date (open): 19/02/2025
