Acquisition | VON ROLL HOLDING AG-BR | 2nd November 2023
On August 11, 2023 ALTANA AG acquired a majority stake in VON ROLL HOLDING AG-BR and announced a public tender offer for CHF 0.86 in cash per VON ROLL HOLDING AG-BR share. The Offer Period commenced on September 25, 2023 and ended on October 27 2023. On October 30, 2023 ALTANA AG has released the preliminary interim results for the public tender offer targeting all shares of VON ROLL HOLDING AG-BR controlling approximately 96.6 percent of the share capital. The supplementary acceptance period, allowing continued acceptance of the offer, is anticipated to begin on November 3, 2023, pending the offer’s completion, and extend until November 16, 2023. Subsequently, a squeeze-out will be carried out, in which the non-tending VON ROLL HOLDING AG-BR shareholders will receive the usual compensation in cash and VON ROLL HOLDING AG-BR will be delisted from the SIX Swiss Exchange. As the free float of VON ROLL HOLDING AG-BR is below 15 percent, Solactive AG will remove VON ROLL HOLDING AG-BR from the indices effective November 2, 2023.
The treatment below will be applied to the following indices:
- VON ROLL HOLDING AG-BR will be removed from the Index.
- The weight of VON ROLL HOLDING AG-BR (ROL.S) based on its last close price will be distributed pro rata to remaining Index constituents.
