Acquisition | VIRGIN MONEY UK PLC | 30th September 2024

On March 21, 2024 the FCA and the PRA gave their requisite consent to the recommended cash acquisition of the entire issued and to be issued share capital of VIRGIN MONEY UK PLC by NATIONWIDE BLDG SOCIETY for GBP 2.18 per share. The Acquisition was approved by Virgin Money Shareholders at the Shareholder Meetings held on May 22, 2024. A court hearing to sanction the scheme is expected on September 27, 2024. Suspension of trading of VIRGIN MONEY UK PLC Ordinary Shares on the London Stock Exchange is expected from start of trading on September 30, 2024.

The treatment below will be applied to the following indices:

• VIRGIN MONEY UK PLC will be removed from the Index.
• The weight of VIRGIN MONEY UK PLC (VMUK.L) based on its last close price will be distributed pro rata to remaining Index constituents.
• Effective Date (open): 30/09/2024
