Initially announced on September 24, 2024 TOWNE BANK made a cash offer for VILLAGE BANK AND TRUST FINANCIAL CORP of USD 80.25 per VILLAGE BANK AND TRUST FINANCIAL CORP share held. VILLAGE BANK AND TRUST FINANCIAL CORP shareholders approved the Acquisition on December 19, 2024. Pending the completion of customary closing conditions, the Acquisition is expected to be completed on April 1, 2025. Trading in shares of VILLAGE BANK AND TRUST FINANCIAL CORP is expected to be halted effective April 1, 2025.

The treatment below will be applied to the following indices:

• VILLAGE BANK AND TRUST FINANCIAL CORP will be removed from the Index.
• The weight of VILLAGE BANK AND TRUST FINANCIAL CORP (VBFC.OQ) based on its last close price will be distributed pro rata to remaining Index constituents.
• Effective Date (open): 01/04/2025
