Acquisition | TODS SPA | 14th May 2024

On February 10, 2024, L CATTERTON launched a tender offer to acquire entire share capital of TODS SPA. Each shareholder of TODS SPA would receive EUR 43 in cash for every share held. The acceptance period to the offer commenced on March 25, 2024 and ended on May 8, 2024. Based on the provisional results announced by the company, the offeror holds 96.919 percent of shares of TODS SPA. Based on stock exchange regulations, Borsa Italiana shall order suspension from trading of shares and delisting according to the timing that will be communicated by the Offeror in due course. Since the free float of TODS SPA has dropped below 15 percent, Solactive AG will remove TODS SPA giving 2 business days notice.

The treatment below will be applied to the following indices:

• TODS SPA will be removed from the Index.
• The weight of TODS SPA (TOD.MI) based on its last close price will be distributed pro rata to remaining Index constituents.
• Effective Date (open): 14/05/2024
