Acquisition | TELEFONICA DEUTSCHLAND HOLDING AG | 23rd January 2024

On 7 November 2023, the bidder TELEFONICA SA launched a tender offer to acquire entire share capital of TELEFONICA DEUTSCHLAND HOLDING AG. Each shareholder of TELEFONICA DEUTSCHLAND HOLDING AG will receive EUR 2.35 in cash for every share held. The tender offer will expire on January 17, 2024. There will be no additional acceptance period. Based on the results announced on January 17, 2024, the bidder TELEFONICA SA holds 89.07 percent of shares of TELEFONICA DEUTSCHLAND HOLDING AG. Since the free float has dropped below 15 percent, Solactive AG will remove TELEFONICA DEUTSCHLAND HOLDING AG giving 2 business days notice.

The treatment below will be applied to the following indices:

• TELEFONICA DEUTSCHLAND HOLDING AG will be removed from the Index.
• The weight of TELEFONICA DEUTSCHLAND HOLDING AG (O2Dn.DE) based on its last close price will be distributed pro rata to remaining Index constituents.
• Effective Date (open): 23/01/2024
