Acquisition | TCNS CLOTHING CO LTD | 3rd September 2024

Initially announced on 5 May 2023, ADITYA BIRLA FASHION AND RETAIL LTD and TCNS CLOTHING CO LTD announced a proposed scheme of amalgamation. On 16 August 2024, the NCLT approved the scheme of amalgamation. On 22 August 2024, the board of directors of TCNS CLOTHING CO LTD approved the terms by which shareholders will receive 11 shares of ADITYA BIRLA FASHION AND RETAIL LTD shares for every 6 shares held in TCNS CLOTHING CO LTD. The scheme completion date will be 3 September 2024.

The treatment below will be applied to the following indices:

• TCNS CLOTHING CO LTD will be removed from the Index.
• The shares of ADITYA BIRLA FASHION AND RETAIL LTD (ADIA.NS) will be increased according to the stock terms of the transaction.
• Effective Date (open): 03/09/2024
