TASUKI CORP (2987.T) and SHIN-NIHON TATEMONO CO LTD (8893.T) announced the management integration of the on May 15, 2023, regarding establishment of TASUKI HOLDINGS, Inc which will become the wholly-owning parent company of TASUKI CORP (2987.T) and SHIN-NIHON TATEMONO CO LTD (8893.T).
One common share of the Joint Holding Company TASUKI HOLDINGS will be allotted to one common share of SHIN-NIHON TATEMONO CO LTD (8893.T), and 2.24 common shares of the Joint Holding Company TASUKI HOLDINGS will be allotted to one common share of TASUKI CORP (2987.T) The Companies plan to apply for an initial listing of the shares of the newly established Joint Holding Company TASUKI HOLDINGS on the Prime Market of the Tokyo Stock Exchange. The listing date is expected to be April 1, 2024.
SHIN-NIHON TATEMONO CO LTD (8893.T) will pay a cash dividend effective March 28, 2024. TASUKI CORP (2987.T) and SHIN-NIHON TATEMONO CO LTD (8893.T) will be delisted from the Tokyo Stock Exchange on March 28, 2024, prior to the listing of the Joint Holding Company.
Solactive AG will treat this event as merger of equals and therefore on the event effective date of April 1, 2024, will also apply an ID change ADHOC for SHIN-NIHON TATEMONO CO LTD in addition to the Index treatment announced.
The treatment below will be applied to the following indices:
- TASUKI CORP will be removed from the Index.
- The shares of SHIN-NIHON TATEMONO CO LTD (8893.T) will be increased according to the stock terms of the transaction.
