Acquisition | SQUARESPACE INC – CLASS A | 17th October 2024

Initially announced on May 23, 2024, PERMIRA made a cash offer for all outstanding shares of SQUARESPACE INC. On September 9, 2024, SQUARESPACE announced a revised proposal by which stockholders would receive USD 46.50 per share in cash by tendering their shares into the offer, an increase of USD 2.50 per share over the transaction price of USD 44.00 per share announced on May 13, 2024. The tender offer expired one minute after 11:59 p.m., New York City time, on October 11, 2024. As of expiration, approximately 97.5 percent of the aggregate voting power of SQUARESPACE total outstanding shares had been tendered. PERMIRA will initiate a second-step merger to acquire the remaining shares, which is set to expire on October 17, 2024. Upon completion of the transaction, SQUARESPACE INC will become a privately held company.

The treatment below will be applied to the following indices:

• SQUARESPACE INC – CLASS A will be removed from the Index.
• The weight of SQUARESPACE INC – CLASS A (SQSP.N) based on its last close price will be distributed pro rata to remaining Index constituents.
