Acquisition | SNOW PEAK INC | 23rd April 2024

On February 20, 2024, K.K.BCJ-80 commenced a tender offer to acquire the common shares of SNOW PEAK INC for JPY 1250 per SNOW PEAK INC share held. The tender offer period ended on April 12, 2024. The offer results state that 59.55 percent of shares were successfully tendered, with settlement occurring on April 19, 2024. Following the offer period, K.K.BCJ-80 intends to acquire the remaining SNOW PEAK INC shares via Two-Step Acquisition, resulting in the delisting of SNOW PEAK INC. Since 28.54 percent of shares held by special parties are agreed not be tendered in the offer, the Free-Float of SNOW PEAK INC has dropped below the 15% threshold as outlined in Solactive’s Equity Index Methodology. As such, SNOW PEAK INC will be removed from the indices effective April 23, 2024 (open).

• SNOW PEAK INC will be removed from the Index.
• The weight of SNOW PEAK INC (7816.T) based on its last close price will be distributed pro rata to remaining Index constituents.
• Effective Date (open): 23/04/2024
