Acquisition | SILVERBOW RESOURCES INC | 30th July 2024

On May 16, 2024, CRESCENT ENERGY INC-A and SILVERBOW RESOURCES INC announced they entered into an agreement and plan of merger, pursuant to which CRESCENT has agreed to acquire SILVERBOW. Under the terms of the agreement, SILVERBOW shareholders who elect to receive stock, or who fail to make a valid election, will receive 3.125 CRESCENT shares for each SILVERBOW share held (default option). The completion of the event is pending the approval of SILVERBOW RESOURCES INC shareholders on July 29, 2024. Pending shareholder approval and the completion of customary closing conditions, the Acquisition is expected to be completed on July 30, 2024. Trading in shares of SILVERBOW RESOURCES INC is expected to be halted effective July 30, 2024.

The treatment below will be applied to the following indices:

• SILVERBOW RESOURCES INC will be removed from the Index.
• The weight of SILVERBOW RESOURCES INC (SBOW.N) based on its last close price will be distributed pro rata to remaining Index constituents.
• Effective Date (open): 30/07/2024
