Acquisition | REDROW PLC | 23rd August 2024

On February 7, 2024 BARRATT DEVELOPMENTS PLC and REDROW PLC announced that they have reached agreement on the terms of a recommended all-share offer where BARRATT DEVELOPMENTS PLC will acquire the entire issued and to be issued ordinary share capital of REDROW PLC for 1.44 New BARRATT DEVELOPMENTS PLC Shares per REDROW PLC share. REDROW PLC shareholders approved the acquisition on a meeting held on May 15, 2024. On 8 August 2024, the United Kingdom’s Competition and Markets Authority concluded its Phase 1 investigation in respect of the Combination and found that the Combination does not raise any UK-wide competition issues. BARRATT DEVELOPMENTS PLC and REDROW PLC announced that BARRATT DEVELOPMENTS PLC has waived the CMA Condition to the Scheme and the parties now intend to complete the Combination. REDROW PLC has confirmed that it will seek the Court’s sanction of the Scheme and the Court Sanction Hearing has been scheduled to be held on 20 August 2024. Subject to court approval, last day of dealing on REDROW PLC shares is expected on August 21, 2024. Solactive AG will remove REDROW PLC from the indices on August 23, 2024. In absence of an active market the last close price will reflect the Deal Terms of the transaction.

The treatment below will be applied to the following indices:

• REDROW PLC will be removed from the Index.
• The weight of REDROW PLC (RDW.L) based on its last close price will be distributed pro rata to remaining Index constituents.
• Effective Date (open): 23/08/2024
