Acquisition | PURMO GROUP OYJ | 7th August 2024

On April 26, 2024, Project Grand Bidco and PURMO GROUP OYJ entered into an agreement pursuant to which the offeror has made a public cash tender offer to acquire all of the issued and outstanding shares in PURMO GROUP OYJ. Each shareholder of PURMO GROUP OYJ will receive EUR 11.05 in cash for every share held. The tender offer expired on July 31, 2024. Based on the results announced, the acquiror now holds 94.53 percent of share capital of PURMO GROUP OYJ. It is the Offeror’s intention to apply for the Shares in PURMO GROUP OYJ to be delisted from the official list of Helsinki Stock Exchange. As the Free float has dropped below 15 percent, Solactive AG will remove PURMO GROUP OYJ giving 2 business days notice.

The treatment below will be applied to the following indices:

• PURMO GROUP OYJ will be removed from the Index.
• The weight of PURMO GROUP OYJ (PURMO.HE) based on its last close price will be distributed pro rata to remaining Index constituents.
• Effective Date (open): 07/08/2024
