Acquisition | PGS ASA | 2nd July 2024

On September 18, 2023 PGS ASA and TGS ASA announced combination of two companies. The transaction was approved in extraordinary general meetings of the shareholders. As per announcement on June 11, 2024 all regulatory approvals and all conditions for completion of merger were satisfied. Each shareholder of PGS ASA will receive 0.06829 shares in TGS ASA and 0.20419 NOK in cash for every share held in PGS ASA. The last date of trading in shares of PGS ASA is expected to be July 1, 2024.The combination is expected to be completed on July 2, 2024.

The treatment below will be applied to the following indices:

• PGS ASA will be removed from the Index.
• The weight of PGS ASA (PGS.OL) based on its last close price will be distributed pro rata to remaining Index constituents.
• Effective Date (open): 02/07/2024
