Acquisition | NEOGAMES SARL | 24th April 2024
On May 14, 2023, NEOGAMES SARL announced that it had entered into a definitive Business Combination Agreement to be acquired by ARISTOCRAT LEISURE LTD for USD 29.50 per share in an all-cash transaction. On April 24, 2024, NEOGAMES will initiate a continuation from Luxembourg to the Cayman Islands, effectively redomiciling as a Cayman company. Following the redomiciling, NEOGAMES expects to hold a special shareholder meeting on April 25, 2024, for shareholders to vote to approve the proposed merger with ARISTOCRAT. If the merger is approved, it is tentatively scheduled to close on April 25, 2024. In anticipation of the shareholder meeting and the subsequent closing, the stock will remain halted on April 24th & 25th and if completed, will be suspended effective April 26, 2024. Therefore, the last trading day in NEOGAMES shares will be April 23, 2024. Provided the closing conditions are met, Solactive will remove NEOGAMES SARL from the index effective on April 24, 2024 open.
The treatment below will be applied to the following indices:

- The weight of NEOGAMES SARL (NGMS.OQ) based on its last close price will be distributed pro rata to remaining Index constituents.
