Acquisition | MAJOREL GROUP LUXEMBOURG SA | 26th October 2023

On August 11, 2023, TELEPERFORMANCE SE launched a tender offer to acquire the entire share capital of MAJOREL GROUP LUXEMBOURG SA. Each shareholder of MAJOREL GROUP LUXEMBOURG SA will receive EUR 30 in cash for every share held. The tender offer expired on 20 October 2023 post which TELEPERFORMANCE SE announced that shares representing approximately 98.45 percent of MAJOREL GROUP LUXEMBOURG SA outstanding share capital have been tendered under the offer and that all the offer conditions have been satisfied. As a result TELEPERFORMANCE SE declared the offer unconditional. Since TELEPERFORMANCE SE will hold at least 95 percent it intends to thereafter request the delisting of shares from Euronext Amsterdam. However, as the Free Float has fallen below 15%, Solactive AG will remove MAJOREL GROUP LUXEMBOURG SA effective October 26, 2023.

The treatment below will be applied to the following indices:

• MAJOREL GROUP LUXEMBOURG SA will be removed from the Index.
• The weight of MAJOREL GROUP LUXEMBOURG SA (MAJ.AS) based on its last close price will be distributed pro rata to remaining Index constituents.
• Effective Date (open): 26/10/2023
