Acquisition | KINDRED GROUP PLC | 9th October 2024

On 22 January 2024, LA FRANCAISE DES JEUX SAEM, announced a recommended public offer to the holders of Swedish Depository Receipts in KINDRED GROUP PLC to tender all their SDRs in Kindred at a price of SEK 130 in cash per SDR. At the end of the acceptance period on 2 October 2024, the Offer had been accepted by shareholders. As a result the offeror controls 91.77 percent of outstanding shares of KINDRED GROUP PLC. LA FRANCAISE DES JEUX SAEM has decided to complete the Offer. All conditions are satisfied or have been waived and the offer is now unconditional. Settlement for Shares tendered in the Offer during the initial acceptance period will begin around 11 October 2024. The acquirer intends to initiate compulsory acquisition proceedings and delist shares of KINDRED GROUP PLC from Stockholm Stock Exchange. As the free float has dropped below 15 percent, Solactive will remove KINDREG GROUP PLC giving 2 business days notice.

The treatment below will be applied to the following indices:

• KINDRED GROUP PLC will be removed from the Index.
• The weight of KINDRED GROUP PLC (KINDsdb.ST) based on its last close price will be distributed pro rata to remaining Index constituents.
• Effective Date (open): 09/10/2024
