Acquisition | KFC HOLDINGS JAPAN LTD | 16th July 2024

On 20 May 2024, CARLYLE GROUP announced the launch of a tender offer for all shares of KFC HOLDINGS JAPAN LTD, at JPY 6500 per share. MUTSIBISHI CORP, also entered an agreement regarding the sale of their entire 35.12% stake in KFC HOLDINGS JAPAN LTD, following a successful tender offer, to CARLYLE GROUP. On 9 July 2024, CARLYLE GROUP announced the acceptances of the tender offer had reached 51.21% (excluding the 35.12% pledged by MUTSIBISHI CORP). Therefore the offeror controls 86.33% of KFC HOLDINGS JAPAN LTD share capital. As the free float is below 15 percent, Solactive AG will remove KFC HOLDINGS JAPAN LTD from the indices on July 16, 2024.

The treatment below will be applied to the following indices:

• KFC HOLDINGS JAPAN LTD will be removed from the Index.
• The weight of KFC HOLDINGS JAPAN LTD (9873.T) based on its last close price will be distributed pro rata to remaining Index constituents.
• Effective Date (open): 16/07/2024
