Acquisition | JPMORGAN JAPAN SMALLER CAP GROWTH AND INCOME PLC | 29th October 2024
On July 31, 2024 JPMorgan Japanese Investment Trust plc (JFJ) and JPMorgan Japan Small Cap Growth & Income plc (JSGI) announced their intention to merge by way of a scheme of reconstruction and voluntary winding up. JPMORGAN JAPAN SMALLER CAP GROWTH AND INCOME PLC shareholder approved the scheme on October 10, 2024. Trading in JSGI Shares on the London Stock Exchange suspended on October 14, 2024. New JFJ Shares will be issued as the default option under the Scheme in the event that either no election, or a partial election, for the Cash Option is made by a Shareholder. JSGI Shareholders will receive 0.577922 JFJ Shares per share held. In the absence of an active market, the last close price will reflect the Deal Terms of the transaction.
The treatment below will be applied to the following indices:
- JPMORGAN JAPAN SMALLER CAP GROWTH AND INCOME PLC will be removed from the Index.
- The weight of JPMORGAN JAPAN SMALLER CAP GROWTH AND INCOME PLC (JSGI.L) based on its last close price will be distributed pro rata to remaining Index constituents.
