Acquisition | ICICI SECURITIES LTD | 24th March 2025

On 29 June 2023, a proposal was announced for the delisting of ICICI SECURITIES LTD pursuant to a Scheme of Arrangement with ICICI BANK LTD ORD. Pursuant to the Scheme, the public shareholders of ICICI SECURITIES LTD would be allotted 67 equity shares of ICICI BANK LTD ORD for every 100 equity shares of the ICICI SECURITIES LTD. On 22 February 2024, an order was passed by the Hon’ble National Company Law Tribunal, Mumbai Bench to convene and hold meeting of the Equity Shareholders of ICICI SECURITIES LTD, for the purpose of considering and if thought fit, approving the arrangement embodied in the Scheme of Arrangement amongst ICICI BANK LTD ORD and the ICICI SECURITIES LTD and their respective shareholders. On March 27, 2024, shareholders approved the scheme in the meeting. On March 10, 2025, Hon’ble National Company Law Tribunal, Ahmedabad Bench (?NCLT?) has sanctioned the Scheme. On March 11, 2025, ICICI SECURITIES LTD announced that all the conditions for effectiveness of the Scheme had been fulfilled and approved the record date as March 24, 2025.

The treatment below will be applied to the following indices:

• ICICI SECURITIES LTD will be removed from the Index.
• The weight of ICICI SECURITIES LTD (ICCI.NS) based on its last close price will be distributed pro rata to remaining Index constituents.
• Effective Date (open): 24/03/2025
