Acquisition | HOLLY ENERGY PARTNERS LP | 1st December 2023

On August 16, 2023 HF SINCLAIR CORP and HOLLY ENERGY PARTNERS LP announced a Definitive Merger Agreement. The agreement provides consideration of both stock and cash in which each holder of HOLLY ENERGY PARTNERS LP would receive a combination of 0.315 shares of HF SINCLAIR CORP Common Stock and USD 4.00 in cash. A HOLLY ENERGY PARTNERS LP shareholder meeting is scheduled on November 28, 2023 to approve the transaction. In case shareholders approve, the last day of trading for HOLLY ENERGY PARTNERS LP is expected on November 30, 2023.

• The weight of HOLLY ENERGY PARTNERS LP (HEP.N) based on its last close price will be distributed pro rata to remaining Index constituents.
