Acquisition | FREELINE THERAPEUTICS HOLDINGS PLC | 20th February 2024

At a special meeting held on February 12, 2024, shareholders of FREELINE THERAPEUTICS HOLDINGS PLC approved the proposed merger with and into SYNCONA LTD. The merger is tentatively scheduled to close prior to the market open on February 20, 2024. Each shareholder of FREELINE THERAPEUTICS HOLDINGS PLC will receive USD 6.5 in cash for every ADS held. In anticipation of the closing, the stock will be halted immediately after close of February 8, 2024. If the merger closes as anticipated, the stock will remain halted on February 20, 2024.

The treatment below will be applied to the following indices:

• FREELINE THERAPEUTICS HOLDINGS PLC will be removed from the Index.
• The weight of FREELINE THERAPEUTICS HOLDINGS PLC (FRLN.OQ) based on its last close price will be distributed pro rata to remaining Index constituents.
• Effective Date (open): 20/02/2024
