Acquisition | EVERBRIDGE INC | 3rd July 2024

On February 5, 2024, EVERBRIDGE INC announced that it had entered into a definitive agreement to be acquired by THOMA BRAVO in an all-cash transaction. On March 1, 2024, EVERBRIDGE and THOMA BRAVO entered into an amended agreement, where EVERBRIDGE shareholders would receive USD 35 per each share held. This amended agreement was approved by EVERBRIDGE shareholders at a meeting on April 25, 2024. The Acquisition is expected to close prior to the market open on July 2, 2024. Trading in shares of EVERBRIDGE INC is expected to be halted effective July 2, 2024. In absence of an active market, the last close price will reflect the Deal Terms of the transaction.

The treatment below will be applied to the following indices:

• EVERBRIDGE INC will be removed from the Index.
• The weight of EVERBRIDGE INC (EVBG.OQ) based on its last close price will be distributed pro rata to remaining Index constituents.
• Effective Date (open): 03/07/2024
