Acquisition | ESI GROUP SA | 15th January 2024

On June 28, 2023 KEYSIGHT TECHNOLOGIES INC announced its intention to acquire the entire share capital of ESI GROUP SA at a price per share of EUR 155 in cash. On January 10, 2024 ESI GROUP SA announced the result of the tender offer for the shares of ESI Group at a price of 155 euros per share initiated by KEYSIGHT TECHNOLOGIES INC showed that 98.16 percent of the share capital of ESI GROUP SA is controlled by the offeror. The tender offer will be followed by a mandatory squeeze-out and the delisting of ESI GROUP SA from Euronext Paris. As the free float of ESI GROUP SA dropped below 15 percent, Solactive AG will remove ESI GROUP SA from the indices effective January 15, 2024.

The treatment below will be applied to the following indices:

• ESI GROUP SA will be removed from the Index.
• The weight of ESI GROUP SA (ESIG.PA) based on its last close price will be distributed pro rata to remaining Index constituents.
• Effective Date (open): 15/01/2024
