Acquisition | EMIS GROUP PLC | 27th October 2023

On 17 June 2022, EMIS GROUP PLC and UNITEDHEALTH GROUP (Private company) announced that they had reached agreement as a result of which UNITEDHEALTH GROUP will acquire the entire share capital of EMIS GROUP PLC in an all cash offer to be effected by means of a Court-sanctioned scheme of arrangement. Each shareholder of EMIS GROUP PLC will receive GBP 19.25 in cash for every share held. The Acquisition remains subject to Court Sanction Hearing which is expected to be held on 25 October 2023. The last day of trading in shares of EMIS GROUP PLC is 26 October 2023.

The treatment below will be applied to the following indices:

• EMIS GROUP PLC will be removed from the Index.
• The weight of EMIS GROUP PLC (EMISG.L) based on its last close price will be distributed pro rata to remaining Index constituents.
• Effective Date (open): 27/10/2023
