Acquisition | CIELO SA | 20th August 2024

On February 5, 2024, CIELO SA announced it has received a notice from its controlling investors of the decision to proceed with the delisting of the Company stock by way of Tender Offer. The Tender Offer period was from July 10 to August 14, 2024. On August 15, 2024, CIELO SA announced that the Offerors acquired 27.1% of shares in the auction (at a price of BRL 5.82 per share), bringing their holding in CIELO SA to 93.4% of issued share capital. As the free float of CIELO SA has dropped below 15% as a result of the offer, Solactive will remove CIELO SA, providing a two business day notice.

The treatment below will be applied to the following indices:

• CIELO SA will be removed from the Index.
• The weight of CIELO SA (CIEL3.SA) based on its last close price will be distributed pro rata to remaining Index constituents.
• Effective Date (open): 20/08/2024
