Acquisition | BORAL LTD ORD | 5th June 2024

On February 19 2024, SEVEN GROUP HOLDINGS LTD ORD commenced the offer to purchase all the shares in BORAL LTD ORD at an offer of AUD 1.5 and 0.1116 shares of SEVEN GROUP HOLDINGS LTD ORD per share of BORAL LTD ORD. The offer was rejected on March 19, 2024 by BORAL LTD ORD. On April 12, 2024 BORAL LTD ORD accepted the maximum consideration by SEVEN GROUP HOLDINGS LTD ORD for 1.1116 stock and AUD 1.70 cash, adjusted to AUD 1.44 after the AUD 0.26 fully franked dividend paid on April 17, 2024. On 30 May 2024, BORAL ORD LTD announced the acceptances for the tender offer was at 91.50 percent. SEVEN GROUP HOLDINGS LTD ORD has commenced a compulsory acquisition of any remaining BORAL LTD ORD shareholders who have not accepted the offer. The offer is now scheduled to close on June 28, 2024. As the free float of BORAL ORD LTD is below 15 percent, Solactive AG will remove BORAL LTD ORD from the indices effective on 5 June 2024.

The treatment below will be applied to the following indices:

• BORAL LTD ORD will be removed from the Index.
• The weight of BORAL LTD ORD (BLD.AX) based on its last close price will be distributed pro rata to remaining Index constituents.
