Acquisition | BEACON ROOFING SUPPLY INC | 29th April 2025

On January 15, 2025, QXO INC announced that is has made a proposal to BEACON ROOFING SUPPLY INC to acquire all outstanding shares of BEACON with a tender offer for USD 124.35 per share in cash. The extended tender offer will remain open until April 28, 2025. The subsequent merger is tentatively scheduled to close prior to the market open on April 29, 2025. The anticipated last trading day in shares of BEACON ROOFING SUPPLY INC is April 28, 2025.

The treatment below will be applied to the following indices:

• BEACON ROOFING SUPPLY INC will be removed from the Index.
• The weight of BEACON ROOFING SUPPLY INC (BECN.OQ) based on its last close price will be distributed pro rata to remaining Index constituents.
