Acquisition | ABCAM PLC | 6th December 2023

Initially announced on August 28, 2023, ABCAM PLC and DANAHER CORP entered into a definitive agreement pursuant to which DANAHER CORP will acquire ABCAM PLC for USD 24.00 per share. ABCAM PLC shareholders voted to approve the Scheme Circular on November 6, 2023. On November 17, 2023, ABCAM PLC announced that all Identified Clearances required in connection with the Transaction have been obtained from the relevant Governmental Authorities. The Court Hearing to sanction the Scheme is expected to be held on December 4, 2023. Pending the Scheme sanction, the last day of trading in ABCAM PLC on Nasdaq is expected to be December 5, 2023.

The treatment below will be applied to the following indices:

• ABCAM PLC will be removed from the Index.
• The weight of ABCAM PLC (ABCM.OQ) based on its last close price will be distributed pro rata to remaining Index constituents.
• Effective Date (open): 06/12/2023
