Acquisition | NETWORK INTERNATIONAL HOLDINGS PLC | 17th September 2024

On June 9, 2023 BROOKFIELD ASSET MANAGEMENT LTD – CLASS A and NETWORK INTERNATIONAL HOLDINGS PLC announced that they have reached agreement on the terms of a recommended cash acquisition for the entire issued and to be issued share capital of NETWORK INTERNATIONAL HOLDINGS PLC. NETWORK INTERNATIONAL HOLDINGS PLC Shareholders shall be entitled to receive 400 pence in cash per share held. On August 4, 2023 NETWORK INTERNATIONAL HOLDINGS PLC shareholders approved the scheme. On August 23, 2024 BROOKFIELD ASSET MANAGEMENT LTD – CLASS A announced that the remaining regulatory conditions have been satisfied. A Court Sanction Hearing is scheduled to be held on September 13, 2024. Subject to the Scheme receiving the sanction of the Court, the last day of dealing on NETWORK INTERNATIONAL HOLDINGS PLC shares is expected on September 16, 2024.

The treatment below will be applied to the following indices:

• NETWORK INTERNATIONAL HOLDINGS PLC will be removed from the Index.
• The weight of NETWORK INTERNATIONAL HOLDINGS PLC (NETW.L) based on its last close price will be distributed pro rata to remaining Index constituents.
• Effective Date (open): 17/09/2024
