Acquisition | INHIBRX INC | 30th May 2024

Initially announced on January 23, 2024, INHIBRX INC will be merged with and into SANOFI SA. Immediately prior to the closing of the merger, INHIBRX INC will spin out a new publicly traded company, INHIBRX BIOSCIENCES INC. On May 24, 2024, the Form 10 was declared effective and shareholder approval for the merger was received. Upon completion of the Acquisition, INHIBRX INC shareholders will receive a per share consideration of USD 30 per share in cash plus a contingent value right (CVR) equal to USD 5 in cash. Trading of INHIBRX INC will be halted on May 30, 2024, and officially suspended on May 31, 2024.

The ex-date of the Spin-off of INHIBRX BIOSCIENCES INC is expected to be May 30, 2024, with a distribution ratio of 0.25. Any holders of shares of the INHIBRX INC common stock who sell shares on or before the Distribution Time (11:59 p.m., Eastern Time, on May 29, 2024) will also be selling their right to receive shares of SpinCo common stock. As such, to ensure replicability, Solactive will remove INHIBRX INC based on its last traded price (ensuring the entire value of the merger consideration is captured) while ignoring the Spin-Off addition.

The treatment below will be applied to the following indices:

• INHIBRX INC will be removed from the Index.
• The weight of INHIBRX INC (INBX.OQ) based on its last close price will be distributed pro rata to remaining Index constituents.
• Effective Date (open): 30/05/2024
