Acquisition | TIETTO MINERALS LTD | 20th May 2024

On 30 October 2023, ZHAOJIN MINING INDUSTRY CO LTD made an unsolicited offer to the shareholders of TIETTO MINERALS LTD to acquire all remaining shares in TIETTO MINERALS LTD. Under the revised terms of the Acquisition, TIETTO MINERALS LTD shareholders will receive AUD 0.68 per every TIETTO share held. On April 15, 2024, ZHAOJIN MINING confirmed that it had received all the Chinese regulatory approvals in respect to the offer. The offer is still subject to the minimum acceptance condition of 50.1% and several regulatory approvals. The TIETTO board of directors recommend that TIETTO shareholders reject the revised offer by taking no action in relating to all documents sent by ZHAOJIN. However, on May 1, 2024, ZHAOJIN MINING announced that their voting power in TIETTO has increased to more than 50%, and as such, ZHAOJIN MINING has extended the Offer Period to expire at 7:00 PM (Sydney Time) on May 14, 2024. On May 15, 2024, ZHAOJIN MINING announced that their voting power in TIETTO has further increased to 90.72%. As the free float is below 15 percent, Solactive AG will remove TIETTO MINERALS LTD from the indices on May 20, 2024.

The treatment below will be applied to the following indices:

• TIETTO MINERALS LTD will be removed from the Index.
• The weight of TIETTO MINERALS LTD (TIE.AX) based on its last close price will be distributed pro rata to remaining Index constituents.
• Effective Date (open): 20/05/2024
