Acquisition | BENESSE HOLDINGS INC ORD | 17th May 2024

Initially announced on 10 November 2023, BLOOM 1 K.K. announced they had decided to acquire common shares of BENESSE HOLDINGS INC ORD through a tender offer. BLOOM 1 K.K. announced another tender offer beginning on 30 January 2024, to purchase the remaining common shares of BENESSE HOLDINGS INC ORD, for the purpose of taking the company private. Each shareholder of BENESSE HOLDINGS INC ORD will receive JPY 2600 in cash for every share held. The tender offer was completed on 3 March 2024 with the acceptances at 70.21%. The offeror plans to implement a series of procedures to take the target company’s shares private (Squeeze Out). As a result of squeeze-out procedures, the company shares are expected to be delisted on May 17, 2024.

The treatment below will be applied to the following indices:

• BENESSE HOLDINGS INC ORD will be removed from the Index.
• The weight of BENESSE HOLDINGS INC ORD (9783.T) based on its last close price will be distributed pro rata to remaining Index constituents.
• Effective Date (open): 17/05/2024
