Spin Off | GRUPO TELEVISA SA | 22nd February 2024

GRUPO TELEVISA SA has confirmed the Spin Off of OLLAMANI SAB with a ratio of 0.25, with GDR record date of February 23, 2024, and with a payable cash distribution rate to be announced at a later date. GDS Holders who do not elect or are ineligible to receive the new OLLAMANI SAB shares will receive the net cash proceeds. The spin-off will be treated as an extraordinary cash dividend for GRUPO TELEVISA SA, based on the open price of OLLAMANI SAB on effective date – adjusted for the transaction terms and no withholding tax applied.

The treatment below will be applied to the following indices:

• The spin-off will be treated as a special cash distribution for GRUPO TELEVISA SA, based on the close price of OLLAMANI SAB prior to the effective date – adjusted for the transaction terms and no withholding tax applied.
• Effective Date (open): 22/02/2024
