Stock Distribution | FLEX LTD | 3rd January 2024

On October 25, 2023, NEXTRACKER INC announced FLEX LTD’s plan to effect a spin-off of all of its remaining interests in NEXTRACKER INC to FLEX LTD shareholders. FLEX LTD shareholders will first receive one share of Yuma Inc for each share held. Yuma Inc will then merge with and into NEXTRACKER INC. Following the merger, FLEX LTD shareholders will receive approximately 0.17 of a share of NEXTRACKER INC for each share held. An Extraordinary General Meeting was held on November 20, 2023, where FLEX LTD shareholders approved the proposal. The distribution ex-date, contingent upon the effectiveness of the merger, is expected to be January 3, 2024.

• The spin-off company NEXTRACKER INC-CL A will be added to the Index according to the transaction terms.
